Terms of Service for COPYFAB

These Terms of Service (“Terms”) govern the use of the services provided by CopyFab (“Agency,” “we,” “us,” or “our”). By accessing or using our services, you (“Client”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use our services. 

Services:

The Agency provides a variety of copywriting services, including but not limited to:

  • Website copywriting
  • Blog post writing
  • Social media copywriting
  • Email marketing copywriting
  • Ad copy
  • Other writing services as agreed upon with the Client. 

Project Engagement:

 Proposal and Acceptance: All projects will be initiated through a formal proposal outlining the scope of work, estimated timeline, and fees. Client acceptance of the proposal constitutes their agreement with these Terms and the specific project details outlined in the proposal.

  • Revisions: The project proposal will include a specific number of revisions. Additional revisions will be subject to additional fees, which will be agreed upon in advance.
  • Turnaround Time: Turnaround times will be outlined in the project proposal and are subject to change due to unforeseen circumstances. The Agency will communicate any delays promptly. 

Fees and Payment:

Payment Terms: Fees for services are due as outlined in the project proposal. Payment is typically required 50% upfront and 50% upon project completion.

  • Taxes: The Client is responsible for any applicable taxes or fees associated with the services. 

Intellectual Property:

 Ownership: All intellectual property rights, including copyright and trademarks, in work created by the Agency for the Client, unless otherwise agreed upon in writing, belong to the Agency.

  • License: The Agency grants the Client a non-exclusive, perpetual, worldwide license to use the work created for their specific project purposes.
  • Confidentiality: The Client agrees to keep confidential all non-public information received from the Agency. 

Client Responsibilities:

 Providing Materials: The Client is responsible for promptly providing the Agency with all necessary information, materials, and feedback to complete the project.

  • Approval: The Client is responsible for approving the final deliverables.
  • Content Accuracy: The Client is responsible for the accuracy of all information and content provided to the Agency. 

Disclaimer of Warranties:

 The Agency, in providing its services, expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Agency does not guarantee the results of the services provided. 

Limitation of Liability:

The Agency shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to the services provided, even if advised of the possibility of such damages.  

Termination:

The Agency or Client may terminate these Terms at any time, with or without cause, upon written notice. In the event of termination, the Agency shall be entitled to payment for all services rendered up to the termination date.

Entire Agreement:

 These Terms constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior or contemporaneous communications and representations, whether oral or written.

 Severability:

 If any provision of these Terms is held invalid or unenforceable, it shall be struck, and the remaining provisions shall remain in full force and effect.
